When to choose an SRL?

The SRL is the right choice if:

  • You are starting a commercial activity (selling products, services, consulting)
  • You want to distribute profits (dividends)
  • You are alone (single-member SRL) or with partners
  • You want clear limited liability

When to choose an ASBL?

The ASBL is suitable if:

  • Your project has a disinterested purpose (social, cultural, sports, humanitarian)
  • You do not plan to distribute profits to members
  • You want a simple and inexpensive structure to set up
  • You have at least 2 founders

Can you convert an ASBL to an SRL?

Yes, it is possible but it is a complex procedure involving a notarial deed and dissolution/reconstitution. If you are unsure and your activity has commercial potential, it is often simpler to start directly as an SRL.
